Terms of Service

The general terms that apply to our website and to every client engagement.

1. Acceptance of terms

By accessing this website or engaging our services, you agree to these terms. If you do not agree, please discontinue use of the site and our services.

2. Services

Scope, deliverables, timelines and fees for each engagement are defined in a written proposal or statement of work. Those documents control where they conflict with these general terms.

3. Fees and payment

Retainers are invoiced monthly in advance; project fees are invoiced per the milestone schedule. Invoices are due within 15 days. Media spend is billed separately or paid directly by the client to the platform.

4. Client responsibilities

Timely feedback, access to required accounts and accurate business information are essential. Delays in these areas may shift timelines and are not grounds for fee adjustment.

5. Intellectual property

Upon full payment, you own all final deliverables created specifically for you. We retain ownership of our pre-existing frameworks, tooling and internal methodologies, and may reference non-confidential work in our portfolio unless you request otherwise.

6. Confidentiality

Each party will protect the other's confidential information and use it only to perform under the engagement. This obligation survives termination.

7. Performance expectations

Digital marketing outcomes depend on factors outside our control, including market conditions and platform policy changes. We provide forecasts based on data and experience, not guarantees of specific results.

8. Term and termination

Retainers run for the initial term stated in the proposal, then continue month to month with 30 days' written notice to terminate. Fees for work performed prior to termination remain payable.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising from an engagement is limited to the fees paid to us in the three months preceding the claim. Neither party is liable for indirect or consequential damages.

10. Governing law

These terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict of law principles.
